The legal agreement between you and Hania, Inc. for using the platform.

1. Acceptance of these terms

By creating an account or using Hania, you agree to these Terms of Service ("Terms") on behalf of yourself and any organization you represent. If you're signing up for a company, you must have authority to bind it. These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, and Data Processing Addendum.

2. The Service

Hania provides software for building, deploying, and managing AI agents that handle voice and chat conversations. The exact features available depend on your plan. We may add, change, or remove features from time to time; we'll give you advance notice if we remove anything that was material to your use of the Service.

3. Your account

You are responsible for keeping your account credentials secure. We require 2FA on every Production account. You're responsible for all activity under your account, except where caused by Hania's failure of its own security obligations. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Customer data

You retain all rights to your Customer Data — the content of your conversations, knowledge sources, configurations, and tool calls. We process Customer Data only to provide the Service, on your behalf, in line with the DPA. We never use Customer Data to train AI models. You grant us a limited license to host, process, and transmit Customer Data as necessary to operate the Service.

5. Fees and billing

Free plan is free, forever. Paid plans are billed monthly or annually depending on your selection. Usage above included quotas is billed at the per-message and per-minute rates published on our Pricing page. Invoices are due within 30 days. Late payments accrue 1.5%/month interest. Taxes (sales, VAT, GST) are added where applicable. Annual plans are non-refundable; you may cancel at the end of your term.

6. Acceptable use

You agree to abide by our Acceptable Use Policy. Violations may result in immediate suspension or termination, and we may report violations to law enforcement where required.

7. Intellectual property & feedback

Hania (and our licensors) own the Service — the software, models we train, dashboards, documentation, and brand. You don't get any rights to it except the limited right to use it under these Terms. Feedback you give us about the Service is non-confidential, and we can use it freely without attribution or compensation.

8. Term and termination

These Terms continue until your account is closed. You can close your account anytime from the dashboard. We may suspend or terminate your account if (a) you breach these Terms or the AUP and don't cure within 14 days of notice, (b) we're legally compelled to, or (c) you go more than 60 days past due on an invoice. On termination, we'll give you 30 days to export your data before deleting it.

9. Warranties & disclaimers

We warrant the Service will substantially conform to its published documentation and that we won't materially decrease its core functionality. Beyond that, the Service is provided "as is" — we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages. Our total liability arising out of these Terms or the Service is capped at the fees you paid us in the 12 months before the event giving rise to the claim. This cap doesn't apply to: (a) your breach of Section 6 (AUP) or 4 (Customer Data licensing), (b) either party's indemnification obligations, or (c) breach of confidentiality.

11. Indemnification

We'll defend you against third-party claims that Hania infringes their IP, and pay any damages a court awards (or settlement we agree to). You'll defend us against third-party claims arising from your Customer Data, your end users' use of the Service, or your breach of the AUP.

12. Disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Disputes will be resolved by binding arbitration in New York County, NY, under the AAA Commercial Arbitration Rules. You may opt out of arbitration within 30 days of signing up by emailing [email protected]. EU customers may instead bring claims in their local courts where required by applicable law.

13. Miscellaneous

These Terms, plus the documents they incorporate, are the entire agreement between you and Hania about the Service. If a provision is unenforceable, the rest stays in force. We may change these Terms; if the change is material, we'll email you at least 30 days before it takes effect. You can't assign the Terms without our consent; we can assign them to an acquirer.
